1. Agreement to Terms

By accessing or using the GEIST Platform (including TalentGeist, PayGeist, EORGeist, LearnGeist, and other applications) operated by GEIST ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to all of these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and GEIST.

2. Description of Services

The GEIST Platform provides AI-powered enterprise applications including but not limited to:

• TalentGeist: AI-native performance management for organizations
• PayGeist: EU Pay Transparency compliance and compensation analytics
• EORGeist: Global workforce management and employer of record services
• LearnGeist: AI-powered corporate learning management system

3. Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to:

• Use the services for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the services or servers
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Harvest or collect user information without consent
• Reverse engineer, decompile, or disassemble any part of the services
• Use AI features to generate harmful, illegal, or misleading content

5. Intellectual Property

Our Content

The services and their original content (excluding content provided by users), features, and functionality are owned by GEIST and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of any content you submit, post, or display on or through the services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of operating and providing the services to you.

6. AI-Powered Features

Our services include AI-powered features. By using these features, you acknowledge that:

• AI outputs are generated automatically and may contain errors
• AI suggestions are not professional advice (medical, legal, financial, etc.)
• You are responsible for reviewing and verifying AI-generated content
• We use third-party AI providers subject to their terms
• Your data may be processed by AI systems to provide personalized features

7. Subscription and Payment

Billing

Some services require a paid subscription. By subscribing, you agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be provided for partial billing periods
• Your data will be retained for 30 days after cancellation

8. Enterprise Terms

Organizations using GEIST products for employee management agree to additional terms:

• You are responsible for ensuring appropriate consent from employees
• You must comply with all applicable employment and privacy laws
• Employee data remains under your control and responsibility
• We process employee data solely as a data processor on your behalf
• A Data Processing Agreement (DPA) is available upon request

10. Limitation of Liability

To the maximum extent permitted by applicable law, GEIST shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to these Terms or the services shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dublin, Ireland for resolution of any disputes.
